Board of Directors Structure and Function:

 Structure - The Board of Directors for Georgia Adult Association consists of the following elected officers:


Responsibilities - The Board of Directors shall be responsible for the comprehensive operation of the
Association in accordance with the authority invested by the membership as a voting authority. The Board of Directors shall keep current and complete records, including minutes of proceedings for Board of Director meetings and other committee meetings of the Board as appropriate. The Board of Directors shall hold the charter, Bylaws, and seal of the Association. The Board of Directors reviews and approves  all budgetary recommendations and requests. 

Anticipated Number of Board Meetings - The Board of Directors shall meet as often as necessary to coordinate activities and otherwise conduct its business. It has historically met three times during the year, once at the annual meeting, during the late summer and then again in the winter. A quorum is required to conduct official business.


Officer Duties and Responsibilities

All officers of the Association are encouraged to meet with other officers and committees to fulfill the duties and responsibilities of their respective offices. Officers may call meetings as often as necessary to coordinate activities and otherwise conduct  business. All members of the Association are encouraged to participate on committees for GAEA; however, Vice Presidents for Member Services, Programs, and Operations may determine committee  size, structure, and meeting schedules to fulfill the function of their office. 

President -The President-Elect becomes the President of  the Association for the upcoming two-year term and shall serve as the Chief Executive Officer of
the Association. The President shall arrange and preside over meetings of the Board, sign
any legal documents for the Association, coordinate the functions of the Board, and
present an Annual Report and Vision Statement report to the Board of Directors and the Association. The
President shall preside at Association meetings, appoint ad hoc committees and task forces to report to the
Board, andl coordinate the work of the officers and Committees of the Board. The President
may appoint an Administrative Assistant who will take and distribute minutes of the Board meetings and serve as
an aide to the President performing administrative assignments from the President. The President serves for two years.

 

President-Elect- The President-Elect shall be elected by the Association and is charged with the
responsibility of working with the officers for effective leadership in the anticipation of being the Chief
Executive Officer in the next term. The President-Elect shall fill in for the President in the event of necessary
absence at meetings. The President-Elect shall serve in an advisory role to the President and shall coordinate
those duties of the Board as assigned by the President. 
Reporting Responsibilities - The President- E
lect reports to the President of the Association. The President-Elect serves for two years.

Past President - The Past President serves on the Board of Directors and lends transitional leadership support to the President and the Board of Directors.  The Past President serves on the Long Range Planning Committee and serves for two years.


The Vice-President For Programs- The Vice-President for Programs shall be elected by the Association tol provide leadership for the Annual Meeting, the Brown Institutes, and all
other programs of the Association. The Vice-President for Programs shall work with the Board of Directors
to develop a strategic programming plan for the Association based on trends in adult/continuing education.
The Vice-President for Programs shall be empowered to contract for meeting facilities and shall be
empowered to receive and disburse funds associated with the Annual Meeting and Brown Institute in
coordination with the President and the Treasurer. Budgetary responsibilities also include monitoring and assisting program committees with program budgets. All program budgets are submitted by the Vice President for Programs to the Board of Directors for approval. The Vice-President for Programs gives overall direction to the coordination of all programs for GAEA.
Reporting Responsibilities - The Vice President for Programs reports to the President of the Association. The Vice President for Programs serves for two years.

 

Vice-President for Member Services- The Vice-President for Member Services shall be elected by the
Association to provide leadership for the recruitment and
registration of members. This responsibility shall include the retention and recognition of current members,
the provision of opportunities for research, publication, and professional advancement, and the awarding of
Association scholarships. The Vice-President for Member Services is responsible for maintaining a current
record of Association members and the effective date of membership. Budgetary responsibilities also include monitoring and assisting member services committees with committee budgets.
Reporting Responsibilities - The Vice President for Member Services reports to the President of the Association. The Vice-President for Member Services serves for two years.

Vice-President for Operations- The Vice-President for Operations shall be elected by the Association to provide leadership for maintaining the records and archives of the
Association, coordination of public relations, communications, the Association's
electronic newsletter and web site, elections, and long range planning of the Association.
Budgetary responsibilities include monitoring and assisting member services committees with committee budgets.
Reporting Responsibilities - The Vice President for Operations reports to the President of the Association. The Vice-President for Operations serves for two years.

Treasurer- The Treasurer shall be elected by the Association. The Treasurer shall serve as custodian of all
financial records and accounts and provide leadership in developing an annual budget and
budget amendments to be submitted to the Board of Directors. The Treasurer shall supervise the preparation
of the annual corporate tax return and other filings with the IRS and the State of Georgia. The Treasurer shall
have the authority to receive and disburse Association funds and will make timely reports of these
transactions to the Board of Directors and membership of the Association. 
Reporting Responsibilities - The Treasurer reports to the President of the Association. The Treasurer serves for two years.

Three members from the membership- at - large -The three members-at-large serve on the Board of Directors as representatives of the membership and lend  leadership support to the President and the Board of Directors. Members at large may serve in specific capacities at the request of the president with
mutual agreement by the board members. The three members-at-large serve on the Long Range Planning Committee.
Reporting Responsibilities - The three members-at-large report to the President of the Association and serve for two years.
